(12)索赔：在货到目的口岸 45 天内如发现货物品质，规格和数量与合同不附，除属保险公司或船方
责任外，买方有权凭中国商检出具的检验证书或有关文件向卖方索赔换货或赔款。
Claims：
Within 45 days after the arrival of the goods at the destination， should the quality， Specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable， the Buyers shall， have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim for compensation to the Sellers
(13)不可抗力：由于人力不可抗力的原由发生在制造，装载或运输的过程中导致卖方延期交货或不
能交货者，卖方可免除责任，在不可抗力发生后，卖方须立即电告买方及在 14 天内以
空邮方式向买方提供事故发生的证明文件，在上述情况下，卖方仍须负责采取措施尽
快发货。
Force Majeure ：
The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure， which might occur during the process of manufacturing or in the course of loading or transit.The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after .the Sellers shall send by airmail to the Buyers for their acceptancea certificate of the accident.Under such circumstances the Sellers， however， are still under the obligation to take all necessary measures to hasten the deliveryof the goods.
(14)仲裁：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提
交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约
束，仲裁费用由败诉方承担。
Arbitration ：
All disputes in connection with the execution of this Contract shall be settled friendly through negotiation.in case no settlement can be reached， the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure promulgated by the said Arbitration Commission .the Arbitration committee shall be final and binding upon both parties.and the Arbitration fee shall be borne by the losing parties.

合作協議書一、合作協議書の三方 甲：A（以下甲という） 乙：B（以下乙という） 丙：C（以下丙という）
二、合作協議内容：
甲乙間OEM合作協議によって、同時に乙の推薦を経由して、精密機械生産用日本製など輸入必要な購入部品は、丙に任せて手配することを決める。OEM項目はうまく進んでいるため、甲乙丙三方が相談したうえで、合作相関事項について以下通りの協議を締結する： 1、甲は乙により提供される納品計画と製品技術図面によって、精密機械生産事項を手配して、同時に、日本から仕入れ必要な輸入部品は丙に知らせること。丙は部品注文通知を受け取る後、10労働日以内に注文される部品の単価と納期を甲に返答する。甲と乙確認した後、丙に通知して部品を準備する。
2、注文方式：甲は乙委託製作車両需要部品の規格、数量及び納期要求に基づいて、注文書の方式をもってメールあるいはファックスで丙に知らせて、同時に、相関図面、技術書類を丙に提供する。
3、供給と納品方式：丙は部品を乙指定港口に発送して、甲はなるべく部品を免税で輸入申告しかつ入荷する。
4、部品品質標準：甲乙双方提供される図面、技術要求、品質標準及び国家相応標準に基づいて実行する。
5、納品検査：丙は相関標準で自分で検査確認して、甲は部品を受ける後、品質検査部門検査員が乙代表、現場相関人員と一緒に甲の倉庫で部品外観などを検査検収して入荷する。丙は提供される部品が不良になる場合、甲が不良検査報告書を提供して、丙が合格品を交換する及び不足製品を補充して、そして相関費用を負担する。乙は図面変更のため部品が使用不可の場合、乙が甲に協力して不足製品を補充する及び製品変更して、そして相関費用を負担する。甲は保管不当あるいは取付不当のため、部品を壊している場合、甲が不足製品を補充する及び製品変更して、そして相関費用を負担する。
6、供給価格と支払方法：丙はなるべく市場に合わせる価格を提供する。甲は納品した後1週間以内、今回部品代金を一括払いで丙に支払う。
7、在庫部品コスト管理：甲乙双方は原則上に製作車両需要部品数量によって部品を注文して、長期納品部品と電気油部品及び缔め付け部品の在庫を協議して確認する。 8、在庫免税部品管理：甲乙両方は中国免税部品管理規定で免税部品在庫管理を実行することに同意して、乙は甲在庫一年未使用な乙特種車両専用部品を買い戻すという処理を同意する。
9、契約書に規定されていないこと及び疑問がある場合、甲乙丙三者が友好的に協議し解決する。
10、本協議書は三方が署名して捺印する後直ちに発効する。本協議書は一部3式で、甲乙丙三方は各１式を持つ。 三、合作協議署名、捺印 甲： A
